Delivery:

Delivery is either made directly from our temperature controlled warehouse facility with London City Bond or using a specialist wine courier.

Delivery is free of charge on duty paid orders over £500 to Mainland UK. A delivery charge of £15 Ex Vat is applicable on orders below this amount.

Storage:

Wine is delicate, and ever evolving, so whether it is spending a few weeks in a warehouse to settle after shipping, or destined for long term cellarage, storage is paramount to its well-being. We have chosen to store the Mayfly Reserves at the exceptional facility with London City Bond, Eton Park (previously Vinothèque). Situated in Burton on Trent, an area famed for its brewing, Vinothèque is a 19th century Grade II listed building that was originally constructed as a maltings (which demanded the same rigid conditions as wine). The metre-thick brick walls coupled with state of the art climate control equipment ensure a perfect vinous home.

Customer Storage:

Mayfly has set up a separate customer storage facility within London City Bond', Eton Park  (previously Vinothèque) where we can happily look after your cases, whether Under Bond or Duty Paid. Your wines will be stored in your name with an allocated 'sub account code'. Storage is invoiced annually in July for the previous 12 months. Storage is charged at cost price per annum : £7.50 per (6x75cl) / £15 per (12x75cl) per year (Inclusive of VAT). Please enquire for further details.

In Bond:

Buying wine ‘In Bond’ can be an alien concept.  We list some of our wines ‘In Bond’ simply as they have been imported into our Bonded Warehouse and are yet to have the UK Duty and Vat paid. Anyone can buy a case ‘In Bond’ and store it as such, it is only when the case is withdrawn from the warehouse for delivery that UK Duty will be charged along with VAT (20%) on the original cost of the case.

Terms & Conditions:

These Terms and Conditions apply to all sales of wine and other goods between Mayfly Wine Company (“Mayfly”, “We”, “Us” “Our”) and the Customer (“Customer”, “Client”, “You”, “Your”).

We reserve the right to alter these Terms and Conditions at any time. Any such changes will take effect when posted on our website. It is your responsibility to read the Terms and Conditions on each occasion the website is used or wine, or goods ordered. Your use of the website or your purchase of wines or goods or products from us shall signify your acceptance to be bound by these latest Terms and Conditions.

The Agreement (“Agreement”, “Contract”)

A Contract for sale which incorporates these terms in full will come into existence when we expressly accept your order. Please note that an acknowledgement of your order by us by telephone, email or by our website does not constitute acceptance of your order. Your order will be accepted when we take payment from you or issue an invoice for the order.

If we issue an invoice to you then payment will be due from you immediately. The issuing of an invoice by us will constitute acceptance but we shall not be obliged to deliver or make available the wines, goods or products to you until the invoice is settled in full.

Please note that the contract between us and you is conditional on the wines being available for sale to you and coming into our possession and we will be entitled to decline any order at any time up to acceptance in the event that we are unable to secure the wines on your behalf.

Prices

Unless otherwise specified, all prices are per standard case (12 bottles of 75cl, 6 magnums of 150cl, or 24 half-bottles of 37.5cl) in GBP (Great British Pounds), In Bond (“IB”) or Duty Paid (“DP”) all exclusive of VAT, as stated in the offer but subject to change.

Title

You will obtain title in the wines, goods, products in the event that you have paid us in full and such wines are in your personal physical possession.

In the event that any sum is outstanding we reserve the right to suspend or withhold any delivery or collection.

Where any invoice is outstanding for more than 30 days then we may send written notice to the invoice address of our intention (at our discretion):

i) to treat the order as cancelled;

ii) to purchase the wines which are covered by the invoice and are in our possession.

 

Payment terms

Payment will be due immediately that we issue an invoice to you.

We reserve the right to withhold any wines you have ordered for non-payment of any invoice (and for the avoidance of doubt this may include an invoice for other wines or services). We may refuse to release any wines to you until such time as you have made payment for your order in full.

Cancellation

Trade: If you are a business (“Trade”) customer then once an order has been accepted by us you will not be able to cancel the order.

Consumer: If you are dealing with us as a consumer you have a right to cancel your contract with us under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (“Consumer Regulations”) and the following terms explain how to cancel and the effect of cancellation:

You will have a right to cancel your contract for the purchase of wines within 14 days without giving any reason unless you have purchased “En Primeur” wine or any other pre-ordered wines which we are unable to release within 30 days.

The cancellation period will expire 14 days after the day on which the wines are made available to you. The wines are made available to you:

a) on delivery, or, in all other cases;

b) 21 days following acceptance of your order, and/or when the wines will be available for collection from our storage facility (“Vinotheque”)

To exercise the right to cancel, you must inform us, Mayfly Wine Company, 29-31 Oxford Street London, W1D 2DR, or email: pete@mayflywine.co.uk, telephone: +44 (0) 203 892 8503 of your decision to cancel this contract by a clear statement (e.g. a letter sent by post or email).

To meet the cancellation deadline it is sufficient for you to send your communication concerning your exercise of the right to cancel before the cancellation period has expired.

Effect of Cancellation

If you cancel this contract, we will reimburse to you all payments received from you, including the costs of delivery (except for supplementary costs arising if you chose an enhanced delivery option).

We may make a deduction from the reimbursement for loss in value of any wines supplied, if the loss is the result of unnecessary handling by you.

We will make the reimbursement without undue delay and not later than –

- 14 days after the day we receive back from you any wines supplied, or

- (if earlier), 14 days after the day you provide evidence that you have returned the wines, or- If there were no wines supplied, 14 days after the day on which we are informed about your decision to cancel this contract.

We will make the reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of the reimbursement. We may withhold reimbursement until we have received the wines back or you have supplied evidence of having sent back the wines, whichever is the earliest.

You shall send back the wines without undue delay and in any event not later than 14 days from the day on which you communicate your cancellation from this contract to us. The deadline is met if you send back the wines before the period of 14 days expires.

You will have to bear the direct cost of returning the wines.

You are only liable for any diminished value of the wines resulting from the handling other than what is necessary to establish the nature, characteristics and functioning of the wines.

Quality and Description

We purchase wines in good faith which meet our quality criteria with respect to provenance and cellarage conditions.

If you are a consumer then we warrant that the wines purchased from us will be of satisfactory quality. If you are a business (“Trade”) then we confirm that we have made reasonable endeavours to ensure that wines sold by us are of satisfactory quality.

We do not warrant taste or drinkability of wines purchased as drinkability and taste are subjective judgements.

With respect to older or high-value wines we will make reasonable efforts to verify the provenance of such wines but we cannot guarantee the authenticity or quality of the wine in the bottle. Older products may age and mature in different ways which may not be to all tastes, and some wines may deteriorate in quality. Opinions as to authenticity and provenance will vary and in many cases even following scientific testing and detailed research it is not possible to establish the authenticity or provenance of a given wine definitively.

We regret that given the nature of the wines we sell we do not provide refunds for corked wines.

Where wines are not (in our opinion) in perfect condition then the wines will be sold at a discount and we will supply (on request by you) a condition report together with photographs and such other information as may be available to us and it will be your decision whether or not to proceed with the purchase based on this information.

Where you have purchased wines from us then you accept that these wines may be subject to defects, imperfections, shortages, damage and normal wear and tear. You accept that wines will be in the condition to be expected having regard to their age, provenance and nature or where we have notified you of any such condition or defect.

We do not accept liability for minor or inconsequential defects or imperfections.

We may provide provenance information to you which has been given to us by our supplier however we are not able to research, test or verify this information. We cannot and do not warrant any such statements.

You accept that given the nature of wines these above terms are reasonable in all the circumstances.

Our Liability

Our liability in any circumstances under or in connection with any sale of wines, goods, products will be limited to the purchase price paid by you for the wines. Our liability will also be limited as set out in Quality and Description.

We will not be liable for any indirect or consequential losses or damages including loss of subsequent contract, lost profit, lost reputation, or loss of anticipated savings.

We will not be liable to you or to any other party following the onward sale of wines by you.

Licensing Act 1964

These offers, wines, goods, products are only available to persons aged 18 years old or over, or you must have reached the requisite age in your home territory for the purchase of alcohol. Under the Licensing Act 1964 it is an offence for an individual aged under 18 years old to buy or attempt to buy intoxicating drinks.

Privacy Notice

This Privacy Notice provides details of the personal data we collect from you, what we do with it, how you might access it and who it might be shared with. In this document, "we", "our", or "us" refer to Mayfly Wine Company Ltd. In this document, “you”, “your” refers to you, our client(s).

Your Shared Personal Data:

We process personal data only for the purpose for which they are collected. If you use the service of Mayfly Wine Company Ltd you are required to register and we collect your personal data in order to create a customer account. We use this personal data for the provision of the service or the performance of the contract. We may use your personal data for other similar purposes, including marketing and communications, but that will only occur in the case that we have your consent.

We take seriously the protection of your privacy and confidentiality. We understand that all personal data shared with us whether through our website, email or telephone will not be used for any purpose unintended by you and will not accidentally fall into the hands of a third party.

If you use our services, personal data is required to fulfil the requirements of a contractual or service relationship, which may exist between you and Mayfly Wine Company Ltd.

We will often collect your : Email address, Company / Personal Name, Address & Telephone Number, Banking Details.

We limit the amount of personal data collected only to what is fit for the purpose. The only instance where your personal information may be shared is with our shippers and/or couriers in order to provide the delivery service of goods. We currently use Vinotheque Ltd (London City Bond) and Deevee Logistics, this may be amended from time to time.

The law requires us to tell you about your rights and our obligations to you in regards to the processing and control of your personal data. We do this now, by requesting that you read the information provided at www.knowyourprivacyrights.org 

You have the right to request access to any of your personal data we may hold. If any of that information is incorrect, you may request that we correct it. If we are improperly using your information, you may request that we stop using it or even delete it completely.

Where it may have been necessary to get your consent to use your personal data, at any moment, you have the right to withdraw that consent. If you withdraw your consent, we will cease using your personal data without affecting the lawfulness of processing based on consent before your withdrawal.

 

Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with English law and you and we irrevocably submit to the exclusive jurisdiction of the English courts to determine any disputes which may arise in connection with them.

General

Your statutory rights are not affected by any provision of these Terms and Conditions.

If you or we fail to exercise or delay in exercising any right or remedy which it may have under these Terms and Conditions, this will not be a waiver of the right or remedy. Neither shall any single or partial exercise of any right or remedy under these Terms and Conditions by you or us prevent any further exercise of the right or the exercise of any other right or remedy.

These Terms and Conditions constitute the entire and only agreement and understanding of the parties, and supersede any previous agreement or understanding between us and you relating to the subject matter of these Terms and Conditions. You agree that in entering into these Terms and Conditions you do not rely on, and have no remedy in respect of, any statement, expression or opinion, representation, warranty or understanding (whether negligently or innocently made) of any person if not expressly set out in these Terms and Conditions. Nothing in this paragraph shall operate to limit or exclude any liability for fraud.

If any provision of these Terms and Conditions is held by a court or other competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of these Terms and Conditions and the remainder of the provision in question shall not be affected.

We will not be liable for any failure to meet our obligations occasioned by circumstances beyond our reasonable control.
